Terms of Sale

1. Purpose

These Terms of Sale govern the provision by Secondia (“the Provider”) of AI agent services set up and operated on behalf of the professional client (“the Client”): AI phone receptionist, back-office agent (invoicing, reminders), AI customer support, according to the subscribed plan (Essential, Comfort, Premium or custom).

2. Order and effectiveness

Orders are placed online. The contract takes effect upon payment of the first installment and setup fee. The Client declares they are a professional acting within their business activity.

3. Prices and invoicing

Prices are in euros, excluding taxes. The subscription is billed monthly in advance; setup fees once at order. Invoices are issued and sent automatically by email (via our payment provider Stripe).

4. Term and termination

The contract has no minimum term. The Client may cancel at any time; cancellation takes effect at the end of the current monthly period, without pro-rata refund. The Provider may terminate with 30 days' notice.

5. First-month guarantee

If, during the first month, the agents do not perform the functions described in the assessment, the Provider fixes the setup or refunds the first month's subscription (setup fees remain due if setup was performed).

6. Go-live

Setup starts upon receipt of the configuration form completed by the Client. Indicative go-live time is 5 business days. Every setup is checked and validated by the Provider before production; the Client approves agent behaviors.

7. Client obligations

The Client provides accurate information, warrants they hold the necessary rights to the data shared, informs their own customers of the use of automated agents where required by law, and does not use the service for unlawful purposes.

8. Service limits and liability

Agents rely on AI models: despite supervision, occasional errors are possible and the service is provided as a best-efforts obligation. The Provider is not liable for decisions made by the Client based on agent outputs. The Provider's total liability is capped at the amounts paid by the Client over the last 12 months. Agents never provide regulated medical, legal or financial advice.

9. Personal data

Data processing carried out on behalf of the Client is governed by the Data Processing Agreement (DPA), which forms an integral part of the contract. The Provider applies strict data minimization: for healthcare professions, no medical data is processed or stored.

10. Technical sub-processors

The Provider relies on technical sub-processors listed in the DPA (hosting, payment, AI, email). The Client is informed of any substantial change.

11. Governing law

The contract is governed by French law. Disputes fall under the competent courts of the Provider's registered office, after an attempt at amicable resolution.
